In April 2022, the Board of Directors will grant Mr. Agrawal performance-based RSUs (“PRSUs”) with a grant date par value of $12,500,000. Performance targets for such PRSUs will be determined by the Compensation Committee of the Board of Directors (“Committee”) on or before the grant date.”
